Terms of service
The agreement between Nisq Technologies Inc. (“ShelfSocial”, “we”) and the shop using the service (“you”). Plain language throughout, because a term you did not understand is one we should not rely on.
The short version of clause 5. Everything this service produces — captions and text, images, carousels and Reels — is generated by artificial intelligence and may be wrong. You must review every post before it goes out. Checking it is your responsibility, and clause 5 sets out what we are and are not answerable for.
1 · What the service is
ShelfSocial makes Instagram content for independent liquor stores. You photograph stock, AI generates images, video and captions from those photographs, you review them, and we publish the ones you approve to the Instagram account you have connected.
Nothing is published without your approval. Generation, scheduling and publishing are separate steps, and the approval step is not optional. It is the point at which responsibility for what is published becomes yours.
If we ever offer a setting that publishes a category of post without individual review, it will be off by default, you will have to turn it on deliberately, and turning it on is your approval of everything published under it. We will tell you that clearly at the moment you turn it on. Everything in clause 5 applies to content published that way exactly as it applies to content you approve one post at a time.
2 · Who may use it
- You must be of legal drinking age where you are — 19 in Ontario, 18 or 19 elsewhere in Canada depending on the province, 21 in the United States.
- You must be authorised to market the business whose Instagram account you connect.
- The service is offered in Canada and the United States only. It is not offered to shops in the European Economic Area, the United Kingdom or Switzerland.
- One account per shop. One Instagram account may be connected to one ShelfSocial account at a time. A second attempt is refused and directed to support rather than resolved automatically.
- You are responsible for complying with the alcohol advertising rules that apply to you, and with Instagram’s own terms and content policies. We do not review your posts for legal compliance and cannot do so on your behalf.
3 · Acceptable use
These are the things you must not do with the service. They come from three places: the law, Instagram’s policies, and the usage policies of the AI providers we rely on. We have put the substance here in our own words rather than pointing you at documents you have never seen.
Alcohol content
You must not generate or publish content that:
- markets alcohol to anyone under legal drinking age, or depicts or implies the participation of anyone who is or appears to be under legal drinking age;
- associates alcohol with driving, operating machinery, athletic performance, or any activity requiring alertness;
- promotes excessive, rapid or competitive consumption, or presents intoxication favourably;
- makes health, therapeutic, nutritional or medicinal claims about alcohol, or suggests it aids relaxation, confidence, social or sexual success;
- states or implies a brand owner’s endorsement, sponsorship or affiliation that does not exist;
- reproduces, alters, recreates or imitates a third party’s trade marks, label artwork or packaging in a way that could mislead; or
- misrepresents a product’s origin, strength, contents, price, availability or awards.
General
You must not use the service to generate content that is unlawful, fraudulent, defamatory, harassing or abusive; that depicts an identifiable real person without their consent; that infringes anyone’s intellectual property; or that would breach Instagram’s terms or content policies.
AI disclosure
Content produced here is AI-generated. You must comply with any labelling or disclosure requirement that applies to you or that Instagram imposes. Instagram may apply its own AI-content label to what we publish; that is their decision and outside our control.
We may refuse or withdraw a generation that would breach this clause, and we may suspend an account that repeatedly attempts to. Clause 10 explains how suspension works.
4 · Your content and what you own
Your photographs stay yours. You grant us permission to store them and to process them — including sending them to the AI providers listed in the privacy policy — for the purpose of making content for you, and for no other purpose. We do not use your photographs to train AI models, and neither do our providers. The privacy policy explains this in full.
You confirm you have the rights to the photographs you upload, and to anything in them — including any person, artwork or third-party branding visible in the frame.
Generated content. To the extent we hold any rights in the images, video and captions generated for you, we assign them to you. You may publish them, alter them, and keep them after you stop paying us.
We should be straight with you about what that is worth. Copyright law in the United States does not presently protect works generated by AI without meaningful human authorship, and the position in Canada is unsettled. We can give you everything we have; we cannot give you a copyright that may not exist. If someone copies your generated image, your ability to stop them may be limited. Treat this as a practical warning rather than a disclaimer.
Audio. Where we assemble a Reel from your photographs, any music comes from Instagram’s own licensed audio library and is used under Instagram’s terms — which restrict what business accounts may use and may cause a Reel to be muted or restricted in some regions. We do not supply, licence or clear music ourselves. If you add your own audio, clearing it is your responsibility.
Feedback. If you tell us how to improve the product, we may act on it freely and without obligation to you.
5 · AI-generated content, and your responsibility to review it
All output of this service is generated by artificial intelligence. That includes text and captions, still images, carousels, Stories, Reels and any other video, hashtags, product descriptions and suggested schedules.
AI systems make mistakes, and the mistakes that matter for this product are specific and ordinary. A generated image may render the small print on a label imprecisely — an age statement, a strength, a volume, an award or a certification. A caption may describe a product, its origin or its contents inaccurately. A generated scene may include details that were never on the shelf. None of this is a malfunction; it is how generative systems behave, and it will happen.
It is therefore your responsibility — as the shop owner, the account holder, and anyone using your account — to review every post, image, video and caption before it is published. The product places this check in front of you: content is generated into a review queue, and it is published only after you approve it. By approving a post you confirm that you have reviewed it and are satisfied it is accurate and appropriate to publish.
Subject to clause 13, we exclude liability for AI-generated content that is inaccurate, misleading, offensive, non-compliant or otherwise unsuitable, and for any consequence of publishing it — including regulatory action, a platform penalty, a claim by a brand owner, or damage to your reputation.
We make no warranty that generated content will be accurate, original, free of resemblance to third-party material, or fit for any particular purpose.
6 · Our intellectual property
The service itself — the platform, the software, our models, prompts, templates, brand and everything we use to run it — stays ours. Nothing in these terms transfers any of it to you. You get the right to use the service while you are paying for it, and you get the content we generate for you. You do not get the machinery.
7 · Instagram
Connecting Instagram grants us a token that lets us publish to that account. We use it only to publish content you have approved, to read back how those posts performed, and to keep the connection alive.
We publish what you approved, mistakes included. We do not re-check a post between approval and publication, because doing so would mean changing something you signed off without telling you.
Disconnecting removes our copy of that token. We stop being able to post, immediately and permanently. It does not tell Instagram anything: the permission you granted stays listed on your Instagram account until you remove it there or it lapses. This is a limitation of the Instagram API rather than a choice, and the product says the same thing at the moment you disconnect.
Instagram is not a party to this agreement and owes you nothing under it. If Instagram changes its API, its policies or your account’s standing, parts of this service may stop working. Clause 11 covers what happens then.
8 · Credits, plans and payment
- One credit is one generated image. Video costs more, and what costs what is listed on the Plan & usage screen. Every movement of your balance is recorded there with a reason.
- Captions, text changes and scheduling are free.
- Trial. The trial gives you 40 credits and runs for 14 days. A payment method is required to start it. We will charge you $49 plus tax on the day the trial ends, and every month after that, unless you cancel before then. We will email you before the first charge. You can cancel at any time from the account screen, in as few steps as it took to sign up.
- Renewal. Plans renew monthly until cancelled. We will email you before each renewal where the law requires it, and you can turn renewal off at any time.
- Price changes. We will give you at least 30 days’ notice in the product and by email before a price increase takes effect. If you would rather not, cancel before it does.
- Taxes. Prices exclude tax. We add HST or the applicable sales tax where we are required to collect it.
- Refunds. We do not charge for our own failures: a generation that produces nothing is refunded automatically, and a quality check that re-runs itself is free. A credit spent on something we delivered is not refundable, whether or not you chose to publish the result. Deciding a generated image is not to your taste is not a failure of the service.
9 · Cancelling, and closing your account
These are two different things and the difference matters.
Cancelling your plan stops the next payment. Your account stays open until the end of the period you have paid for. Content already generated and scheduled will still publish. After that the account becomes inactive: you can sign in and export your content, but you cannot generate or publish.
Closing your account is permanent and immediate. Your shop and everything in it goes, your card is removed, and you are not billed again. Scheduled posts are cancelled. Credits you have bought are not refunded — they are spent when a picture is made, and closing an account does not return them. Export anything you want to keep first; the product lets you download your generated content at any time before you close.
Posts already published to Instagram stay on Instagram. Closing your account here does not remove them, and we have no way to.
If you started a paid plan, one record outlives your account for 90 days: a one-way cryptographic fingerprint of the Instagram handle that was connected, and one of the email that connected it, kept so that deleting and re-registering cannot mint an unlimited number of free trials. Neither can be reversed into the value it was made from. The email fingerprint is there for you — it is how you can reconnect your own Instagram account inside those 90 days without asking us. If you never started a paid plan, nothing is kept at all. The privacy policy explains it in full.
10 · Suspension
We may suspend an account that breaks these terms, that we reasonably believe is being used to abuse the trial, or that we are required to suspend by law.
Except where the breach is serious, unlawful, or ongoing harm makes waiting unreasonable, we will tell you what the problem is and give you 7 days to fix it before suspending. If we suspend without notice we will tell you why as soon as we can.
11 · Availability
We do not promise the service will be uninterrupted. We depend on Instagram and on third-party AI providers, and when they are unavailable, parts of this are too. Scheduled posts are retried; a post that cannot be published is reported to you rather than silently dropped.
We may change, add to or withdraw features. If we withdraw something you are relying on, we will give notice in the product first.
12 · Your indemnity
You will indemnify us against any third-party claim, and any fine, penalty or regulatory action, arising from:
- content published from your account, including content generated here that you approved;
- your breach of alcohol advertising law, of Instagram’s terms, or of clause 3;
- the photographs and material you uploaded, including any claim that they infringe someone’s rights; or
- your use of the service in a way these terms do not permit.
We will tell you promptly about any claim we want covered, and we will not settle it without asking you first.
13 · Liability
The service is provided as it is. To the extent the law allows, we exclude all implied warranties, and we are not liable for indirect or consequential loss, or for lost profits, lost revenue, lost data or lost goodwill.
Where we are liable, our total liability for all claims is limited to the greater of what you paid us in the twelve months before the claim and CAD $100.
Nothing here limits liability that cannot be limited by law, including for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
14 · Changes to these terms
We will give notice in the product at least 14 days before a material change takes effect. Continuing to use the service after that is acceptance. If you would rather not, cancel and we will refund the unused part of your current month.
15 · General
- Severability. If any part of these terms is held unenforceable, it is narrowed only so far as necessary, or struck if it cannot be. The rest stands.
- Force majeure. Neither of us is liable for a failure caused by something genuinely outside our control.
- Assignment. You may not transfer this agreement without our consent. We may transfer it to a company that acquires our business, on notice to you.
- Entire agreement. These terms and the privacy policy are the whole agreement between us and replace anything said before.
- Notices. We write to the email on your account and post in the product. You write to support@shelfsocial.ai.
- No waiver. If we do not enforce something immediately, we have not given it up.
- No third-party rights. No one outside this agreement can enforce it.
16 · Law and contact
These terms are governed by the law of Ontario, Canada and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction, and both of us submit to them.
